DEMO: Cowrite App – Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the DEMO: Cowrite App mobile application and any related services (collectively, the “Services”). The Services are provided by Catalog Management Services LLC, a New Jersey limited liability company, doing business as CTLGMGMT (“CTLGMGMT”, “we”, “us”, or “our”).

By downloading, accessing, or using DEMO: Cowrite App, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Overview

DEMO: Cowrite App is designed to help songwriters and creators capture, organize, and manage ideas, sessions, and related content. DEMO and Cowrite App are brands and products of Catalog Management Services LLC dba CTLGMGMT.

2. Eligibility and accounts

  • You must be legally able to enter into a binding contract to use the Services.
  • If the App allows you to create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • You agree to provide accurate, current information and promptly update it if it changes.

3. Subscriptions, in app purchases, and RevenueCat

  • DEMO: Cowrite App may offer both a free tier and paid subscriptions or one time purchases (“Subscriptions”).
  • All purchases and subscriptions are processed by Apple’s App Store and/or Google Play. We do not collect or store your full payment card or bank information.
  • A third party service, RevenueCat, helps us manage subscriptions and entitlements. When you make a purchase, the App Store or Play Store processes the payment and notifies RevenueCat; DEMO: Cowrite App then checks RevenueCat to determine your access level.
  • Billing, renewals, cancellations, free trials, and refunds are governed solely by Apple’s or Google’s rules and policies. You can manage or cancel your Subscriptions via your App Store or Play Store account settings. Deleting the App alone does not automatically cancel a Subscription.

4. Your content and rights

You retain ownership of the audio recordings, lyrics, notes, metadata, and other creative material you create or upload using DEMO: Cowrite App (“Your Content”).

You grant CTLGMGMT a limited, non‑exclusive, worldwide license to host, store, process, and display Your Content solely as necessary to provide, maintain, and improve the Services (including syncing between devices, backups, and support).

You are responsible for:

  • Ensuring you have all necessary rights and permissions (for example, from co writers) to record and store any content.
  • Not uploading or recording content that is illegal, infringing, or violates the rights of others.

We do not claim ownership of Your Content and will not use Your Content in marketing or promotional materials without your separate permission.

5. Acceptable use

You agree that you will not:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to reverse engineer, decompile, or otherwise derive the source code of the App, except where allowed by law.
  • Interfere with or disrupt the operation of the Services, including by introducing malware, overload, or abusive automated requests.
  • Attempt to gain unauthorized access to any systems, accounts, or data.

We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms or are using the Services in a way that may harm us, our users, or others.

6. Intellectual property (App and brand)

All rights in and to DEMO: Cowrite App itself—including the software, design, user interface, logos, trademarks, and branding—are owned by or licensed to CTLGMGMT.

Except for the limited license granted to you to use the App for personal or internal professional purposes, these Terms do not grant you any rights to our trademarks, logos, or proprietary code.

7. “As is” service and no warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available.”

We do not guarantee that:

  • The Services will be uninterrupted, timely, secure, or error free.
  • Any defects or bugs will be corrected within a specific timeframe.
  • The Services will meet your specific expectations or outcomes.

We expressly disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

8. Limitation of liability

To the maximum extent permitted by law:

  • CTLGMGMT and its officers, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, lost songs, lost data, loss of business opportunities, or business interruption, arising out of or related to your use of or inability to use the Services.
  • Our total aggregate liability for any claim relating to the Services will not exceed the greater of:
  • The amount you actually paid to us for the Services in the twelve (12) months before the claim, or
  • One hundred U.S. dollars (USD $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

9. Third party services and app stores

The Services rely on and may link to third‑party services such as:

  • Apple App Store and Google Play for distribution, authentication, and payments.
  • RevenueCat for subscription and entitlement management.
  • Analytics, crash reporting, and similar tools.

These third parties are governed by their own terms and privacy policies. CTLGMGMT is not responsible for their content, policies, or practices.

10. Termination

You may stop using DEMO: Cowrite App at any time and may delete the App from your devices. To stop a paid Subscription, you must cancel it in your App Store or Play Store account settings.

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, caused risk or possible legal exposure for us, or if we discontinue the Services.

11. Governing law and venue

These Terms and any disputes arising out of or related to the Services are governed by the laws of the State of New Jersey, without regard to its conflict‑of‑law rules.

You agree that any legal action or proceeding relating to the Services or these Terms will be brought exclusively in the state or federal courts located in New Jersey, and you consent to the jurisdiction and venue of those courts.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top. If changes are material, we may also provide additional notice within the App or on our website. Your continued use of the Services after changes take effect means you accept the updated Terms.
